Downside risk means a provider organization can owe money back to a payer if spending or performance falls outside contract terms. It is a more advanced form of value-based payment than upside-only shared savings because the organization is accountable for losses as well as gains. Taking downside risk requires actuarial discipline, stop-loss planning, care management infrastructure, physician alignment, and credible insight into utilization and total cost of care.
